KWIGA Unlock Agreement

This KWIGA Unlock Agreement (“Agreement”) is concluded between Tuterria, Ltd. (“KWIGA” or “We,” “Us, “Company”) and you (“You,” “Partner”) in relation to KWIGA’s offering of the KWIGA Unlock service (“Unlock,” “Service") on its platform. This agreement sets the terms and conditions that are included in this Service offer.

1. The Service

KWIGA’s Unlock service is a service provided on the KWIGA platform. The service contains a handled Unlock of courses assisted by KWIGA, where students can search, find, and purchase these courses. KWIGA has the right to cancel the Service at any time at its discretion. If the Company cancels the Service, attempts will be made to contact the Partner regarding the cancellation.

2. Unlock Fees

2.1. General: KWIGA provides free participation in the Service and has the right to change the conditions unilaterally at any time. The Partners will be notified about changes. All other fees shall be charged per the KWIGA Terms of Use and any other agreements or service opt-ins that Partner may have, or will have, entered into with KWIGA. The Service does not in any way replace or remove any other fees or charges that are a part of the Partner’s usage of, or participation on, the KWIGA platform.

2.2. Discounts: KWIGA reserves the possibility to set up discounts to 20% of the sale price of courses placed in the Unlock platform for any reason, including incentives to participate on theUnlock platform. If a discount is granted on the rates that appear in the Service, the discounted amount will be applied to the gross sales price amount before any other charges are taken into account. For the avoidance of doubt, the purpose of this discount entitlement is to provide limited discounts to encourage the service of the Unlock and not to direct individual courses to receive the discount on an ongoing basis.

2.3. Best Price Guarantee: By concluding the Agreement, you empower KWIGA to offer customers the Best Price Guarantee for selling your course through the Unlock. The Best Price Guarantee means if a customer finds your course for a lower price on another site, a refund for the price difference can be requested. You agree that You are responsible for providing refunds stipulated in this guarantee. In case You failed to provide the refund within 30 days of the request, You agree and permit KWIGA to process the refund on your behalf and deduct the amount from your payouts.

3. Cancellation

The Partner can cancel his participation anytime. To cancel participation in the Service, the Partner needs to provide KWIGA with written notice of its decision to remove itself from the Unlock. After that, KWIGA will remove the Partner from the Service as soon as possible, no later than 10 business days after receiving the written request for removal from the Service.

4. Conjunction with Other Agreements

The Agreement is made in conjunction with other agreements that Partner may have concluded with KWIGA, including the Terms of Use and the KWIGA Privacy Policy (the "Prior Agreements"). This Agreement will not cancel the Previous Agreements and their terms and conditions. The Previous Agreements apply in full and incorporated into all of the Partner's uses of the KWIGA Platform, including the Unlock Service. If this Agreement conflicts with the Previous Agreements, the Previous Agreements prevail.

5. Privacy

KWIGA’s Unlock Service is governed by KWIGA’s Privacy Policy.

6. No additional sales expectations

Participation in Unlock doesn't guarantee additional sales from KWIGA for Partner’s school or course(s). The Partner shouldn't expect that participation in the Service will increase gains from the Partner's courses. KWIGA makes no guarantees or claims regarding the effectiveness of the directory Service.

‍7. Taxes

Taxes charged on the Unlock platform are governed by KWIGA's Terms of Use. Partner will compensate and hold KWIGA harmless from and against any tax, penalty, and interest arising from the Partner’s tax position.

8. Risk Assumption

Only the Partner shall be responsible for ensuring that its participation in the Service complies with applicable law and does not violate the rights of third parties, including intellectual property rights. The Partner shall be fully responsible for any claims or complaints filed against the Partner, including all losses relating to the Partner's participation in the Unlock.

9. Compensation

Partner agrees to indemnify, protect and secure KWIGA, its current and future officers, directors, employees, agents, licensors, suppliers, and any third-party information providers from and against all claims, losses, expenses, including reasonable attorneys' fees, as a result of any breach of this Agreement by you or in connection with your participation, use or misuse of the Service (including, without limitation, any use in violation of this Agreement or Previous Agreements, other KWIGA policies, copyright, and other intellectual property laws).

10. Termination of Access

KWIGA can stop Partner’s participation in Unlock usage at any time for any reason at its sole discretion. Removal from the Unlock may not necessarily remove the school or course of the Partner and terminate its account.

11. License

Partner agrees to grant to KWIGA an unconditional, irrevocable, non-exclusive, non-transferable, worldwide license enabling KWIGA to use the Partner's name, photograph, video, voice, business/trade names, course/lecture names, and other similarities for any purpose related to the promotion of Partner's course content through the Unlock. The license contemplated herein doesn't include Partner’s course content, of which Partner retains all rights and ownership in alignment with KWIGA’s Terms of Use and Privacy Policy.Unlock by KWIGA grants you a revocable, general, non-sublicensable non-transferable license to use the Unlock name and logo solely to promote the Unlock project subject to the following terms:

(a) The KWIGA logo can only be used per the recommended style or usage rules;

(b) You are not allowed to modify our logo in any way without KWIGA's written permission;

12. Changes to the Terms of Participation ‍‍

KWIGA may revise and update this Agreement at any time at our sole discretion, and it is the Partner's responsibility to be aware of these changes. All changes are taken immediately upon publication and shall apply to all access to the Service and further participation or use of the Service. Further participation of the Partner in the Service or its use after notification and/or placement of the revised Unlock Agreement means that the Partner accepts and agrees to binding changes.
